Successful online corporate changes in Poland without trusted profile access
When companies need to update corporate data in Poland, online filings usually require access to a trusted profile (Profil Zaufany). Without it, many directors assume that the only option is to travel to Poland and complete the process in person. For international businesses operating under tight deadlines, this can delay contracts, banking procedures, and compliance checks.
In this case, an EU-based IT company urgently needed to update its corporate registry data but the director did not have access to a trusted profile required for online submission. Our team developed a fully remote regulatory solution that allowed the client to obtain a qualified electronic signature and complete all corporate changes online without any travel.
Client Profile
A small-to-mid-sized IT services company registered in Poland and operating with international clients across the EU. The company needed to urgently update corporate data to proceed with a new contract and banking procedures.
Challenge
The client contacted us with an urgent request to make official changes to their Polish company’s registry data. The company director did not have access to a trusted profile (Profil Zaufany), which is normally required to submit changes online to the commercial register.
As a result:
- The company could not submit changes to the Polish business registry online;
- Physical presence in Poland was not possible due to tight timelines;
- Delays threatened contract signing and onboarding with a new EU client;
- Banking and compliance procedures were put on hold;
- Operational and reputational risks were increasing.
The situation required a fully remote solution, lawful digital identification, and fast coordination with Polish registries.
Solution
We developed a remote-first strategy to complete corporate changes in Poland without access to a trusted profile:
- Feasibility assessment. Confirmed that the required corporate changes could be submitted electronically using a qualified electronic signature instead of a trusted profile.
- Remote E-signature issuance. Arranged issuance of a qualified electronic signature (online EDS) for the company director without any physical visit.
- Document preparation. Drafted all corporate resolutions, applications, and registry forms in line with Polish regulatory requirements.
- Online filing. Submitted the changes electronically to the Polish company register using the newly issued EDS.
- Post-registration verification. Verified that all updates were reflected in official Polish registers and accepted by counterparties and banks.
Process
To complete the corporate changes without the director’s trusted profile, our team implemented a structured remote procedure. Each stage was designed to ensure full compliance with Polish registry requirements while keeping the entire process online and efficient for the client. The workflow covered verification, remote electronic signature issuance, preparation of corporate documentation, and electronic submission to the Polish commercial register.
- Initial Review.Analyzed the type of corporate changes and confirmed that online submission via qualified electronic signature was legally valid in Poland.
- Remote EDS Setup. Organized the full remote procedure to obtain an online qualified electronic signature for the director, with identity verification conducted digitally — no travel or in-person appearance required.
- Document Execution & Filing. Prepared and signed all documents electronically, then filed the application to the commercial register via Sąd Rejestrowy through the official online registry platform.
- Confirmation & Registry Update. Monitored the case until the changes were approved and visible in KRS.
Result
The project was completed successfully through a fully remote process. By combining a qualified electronic signature with properly prepared corporate documentation, our team ensured that all registry updates were submitted and approved without the need for a trusted profile or physical presence in Poland. As a result, the client was able to continue business operations and finalize contractual arrangements without delays.
- Corporate changes in Poland completed fully online.
- Qualified electronic signature issued remotely without any in-person visit.
- No need for a trusted profile (Profil Zaufany).
- All registry data updated and accepted by banks and counterparties.
- Contract signing proceeded without delays.
- Client avoided travel costs and operational downtime.
